In order to clarify the intellectual property license 6 granted with Contributions from any person or entity, the Project 7 must have a Contributor License Agreement (CLA) on file that has been 8 signed by each Contributor, indicating agreement to the license terms 9 below. In 41 return, the Project shall not use Your Contributions in a way that 42 is contrary to the public benefit or inconsistent with its nonprofit 43 status and bylaws in effect at the time of the Contribution. Except 44 for the license granted herein to the Project and recipients of 45 software distributed by the Project, You reserve all right, title, 46 and interest in and to Your Contributions. 47 48 1. Definitions. 49 50 "You" (or "Your") shall mean the copyright owner or legal entity 51 authorized by the copyright owner that is making this Agreement 52 with the Project. For legal entities, the entity making a 53 Contribution and all other entities that control, are controlled by, 54 or are under common control with that entity are considered to be a 55 single Contributor. For the purposes of this definition, "control" 56 means (i) the power, direct or indirect, to cause the direction or 57 management of such entity, whether by contract or otherwise, or 58 (ii) ownership of fifty percent (50%) or more of the outstanding 59 shares, or (iii) beneficial ownership of such entity. 60 61 "Contribution" shall mean the code, documentation or other original 62 works of authorship expressly identified in Schedule B, as well as 63 any original work of authorship, including 64 any modifications or additions to an existing work, that is intentionally 65 submitted by You to the Project for inclusion in, or 66 documentation of, any of the products owned or managed by the 67 Project (the "Work"). For the purposes of this definition, 68 "submitted" means any form of electronic, verbal, or written 69 communication sent to the Project or its representatives, 70 including but not limited to communication on electronic mailing 71 lists, source code control systems, and issue tracking systems 72 that are managed by, or on behalf of, the Project for the 73 purpose of discussing and improving the Work, but excluding 74 communication that is conspicuously marked or otherwise designated 75 in writing by You as "Not a Contribution." 76 77 2. Grant of Copyright License. Subject to the terms and conditions 78 of this Agreement, You hereby grant to the Project and to 79 recipients of software distributed by the Project a perpetual, 80 worldwide, non-exclusive, no-charge, royalty-free, irrevocable 81 copyright license to reproduce, prepare derivative works of, 82 publicly display, publicly perform, sublicense, and distribute 83 Your Contributions and such derivative works. 84 85 3. Grant of Patent License. Subject to the terms and conditions of 86 this Agreement, You hereby grant to the Project and to recipients 87 of software distributed by the Project a perpetual, worldwide, 88 non-exclusive, no-charge, royalty-free, irrevocable (except as 89 stated in this section) patent license to make, have made, use, 90 offer to sell, sell, import, and otherwise transfer the Work, 91 where such license applies only to those patent claims licensable 92 by You that are necessarily infringed by Your Contribution(s) 93 alone or by combination of Your Contribution(s) with the Work to 94 which such Contribution(s) were submitted. If any entity institutes 95 patent litigation against You or any other entity (including a 96 cross-claim or counterclaim in a lawsuit) alleging that your 97 Contribution, or the Work to which you have contributed, constitutes 98 direct or contributory patent infringement, then any patent licenses 99 granted to that entity under this Agreement for that Contribution or 100 Work shall terminate as of the date such litigation is filed. 101 102 4. You represent that You are legally entitled to grant the above 103 license. You represent further that each employee of the 104 Corporation designated on Schedule A below (or in a subsequent 105 written modification to that Schedule) is authorized to submit 106 Contributions on behalf of the Corporation. 107 108 5. You represent that each of Your Contributions is Your original 109 creation (see section 7 for submissions on behalf of others). 110 111 6. You are not expected to provide support for Your Contributions, 112 except to the extent You desire to provide support. You may provide 113 support for free, for a fee, or not at all. Unless required by 114 applicable law or agreed to in writing, You provide Your 115 Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS 116 OF ANY KIND, either express or implied, including, without 117 limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, 118 MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. 119 120 7. Should You wish to submit work that is not Your original creation, 121 You may submit it to the Project separately from any 122 Contribution, identifying the complete details of its source and 123 of any license or other restriction (including, but not limited 124 to, related patents, trademarks, and license agreements) of which 125 you are personally aware, and conspicuously marking the work as 126 "Submitted on behalf of a third-party: [named here]". 127 128 8.
