In 45 return, the Lab shall not use Your Contributions in a way that 46 is contrary to the public benefit or inconsistent with its nonprofit 47 status and bylaws in effect at the time of the Contribution. Except 48 for the license granted herein to the Lab and recipients of 49 software distributed by the Lab, You reserve all right, title, 50 and interest in and to Your Contributions. 51 52 1. Definitions. 53 54 "You" (or "Your") shall mean the copyright owner or legal entity 55 authorized by the copyright owner that is making this Agreement 56 with the Lab. For legal entities, the entity making a 57 Contribution and all other entities that control, are controlled by, 58 or are under common control with that entity are considered to be a 59 single Contributor. For the purposes of this definition, "control" 60 means (i) the power, direct or indirect, to cause the direction or 61 management of such entity, whether by contract or otherwise, or 62 (ii) ownership of fifty percent (50%) or more of the outstanding 63 shares, or (iii) beneficial ownership of such entity. 64 65 "Contribution" shall mean the code, documentation or other original 66 works of authorship expressly identified in Schedule B, as well as 67 any original work of authorship, including 68 any modifications or additions to an existing work, that is intentionally 69 submitted by You to the Lab for inclusion in, or 70 documentation of, any of the products owned or managed by the 71 Lab (the "Work"). For the purposes of this definition, 72 "submitted" means any form of electronic, verbal, or written 73 communication sent to the Lab or its representatives, 74 including but not limited to communication on electronic mailing 75 lists, source code control systems, and issue tracking systems 76 that are managed by, or on behalf of, the Lab for the 77 purpose of discussing and improving the Work, but excluding 78 communication that is conspicuously marked or otherwise designated 79 in writing by You as "Not a Contribution." 80 81 2. Grant of Copyright License. Subject to the terms and conditions 82 of this Agreement, You hereby grant to the Lab and to 83 recipients of software distributed by the Lab a perpetual, 84 worldwide, non-exclusive, no-charge, royalty-free, irrevocable 85 copyright license to reproduce, prepare derivative works of, 86 publicly display, publicly perform, sublicense, and distribute 87 Your Contributions and such derivative works. 88 89 3. Grant of Patent License. Subject to the terms and conditions of 90 this Agreement, You hereby grant to the Lab and to recipients 91 of software distributed by the Lab a perpetual, worldwide, 92 non-exclusive, no-charge, royalty-free, irrevocable (except as 93 stated in this section) patent license to make, have made, use, 94 offer to sell, sell, import, and otherwise transfer the Work, 95 where such license applies only to those patent claims licensable 96 by You that are necessarily infringed by Your Contribution(s) 97 alone or by combination of Your Contribution(s) with the Work to 98 which such Contribution(s) were submitted. If any entity institutes 99 patent litigation against You or any other entity (including a 100 cross-claim or counterclaim in a lawsuit) alleging that your 101 Contribution, or the Work to which you have contributed, constitutes 102 direct or contributory patent infringement, then any patent licenses 103 granted to that entity under this Agreement for that Contribution or 104 Work shall terminate as of the date such litigation is filed. 105 106 4. You represent that You are legally entitled to grant the above 107 license. You represent further that each employee of the 108 Corporation designated on Schedule A below (or in a subsequent 109 written modification to that Schedule) is authorized to submit 110 Contributions on behalf of the Corporation. 111 112 5. You represent that each of Your Contributions is Your original 113 creation (see section 7 for submissions on behalf of others). 114 115 6. You are not expected to provide support for Your Contributions, 116 except to the extent You desire to provide support. You may provide 117 support for free, for a fee, or not at all. Unless required by 118 applicable law or agreed to in writing, You provide Your 119 Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS 120 OF ANY KIND, either express or implied, including, without 121 limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, 122 MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. 123 124 7. Should You wish to submit work that is not Your original creation, 125 You may submit it to the Lab separately from any 126 Contribution, identifying the complete details of its source and 127 of any license or other restriction (including, but not limited 128 to, related patents, trademarks, and license agreements) of which 129 you are personally aware, and conspicuously marking the work as 130 "Submitted on behalf of a third-party: [named here]". 131 132 8.
